Terms of Service for SiMPLIdeas.org
Welcome to SiMPLIdeas.org (herein and other related documents as part or whole, the “Platform”). When you use our Services, you are agreeing to our Terms of Use (“Terms”) and entering into a legally binding agreement so please take a few minutes to read the User Agreement below.
Who We Are? We are a Platform designed for the social communications and development of Ideas and Intellectual Property and their commercialization in the marketplace. This Platform is owned by Blueprints Lab, LLC, a Texas Limited Liability Company (LLC) or its assigns (e.g. SiMPL Ideas), also referred to herein as “we”, “our”, “us”, Website, system, APIs, apps, “Platform”, “Services”, “Blueprints” or “BPL.”
Who You Are? We may refer to you as User, Users, Member, Collaborator, or similar as one who has read our Privacy Policy these Terms of Service, has subscribed for fee or payment to the Services offered by our Websites, APIs, apps, or Platform collectively or at large.
We serve our Members of the Platform. All other persons who access this Platform by permission of Members are called “Guests.” For example, a Member might be a “University”, the “Armed Forces”, an “Inventor”, a “Prime Contractor”, an Individual or Organization or whomever we designate by agreement as Users of the Platform.
Scope and Intent
When you use this Platform, you are entering into a legal agreement and you agree to all of these terms. You also agree to our Privacy Policy and may be required to sign a Mutual Non-Disclosure Agreement (“MNDA”) by a Member, Licensee, or us, which covers how we collect, use, share, and store certain information. You agree that by registering on this Platform, or by using our Website(s), including our mobile applications (apps), other software which may be connected by link or Application Program Interface (API) or other information provided as part of our services (collectively referred to herein as our “Platform” or our “Services”), you are entering into a legally binding agreement with the Platform, Blueprints Lab, LLC (the Platform owner) and third-party content providers or API providers. You are instructed to also read the Privacy Policy of any associated third party and if you do not agree with those policies you should not use the Platform. If you are using the Platform on behalf of a company or other legal entity, you are nevertheless individually bound by this Agreement even though your company may have a separate agreement with us.
If you do not want to register an account and become a Member, do not enter into this Agreement, do NOT click “Join ” and do not access, view, download or otherwise use the Platform, Website(s), app(s), API(s), information, products, services, or Services.
By clicking “Join” (or functionally similar), you acknowledge that you have read and understood the terms and conditions of this Agreement and that you agree to be bound by all of its provisions. By clicking Join you also consent to use electronic signatures and acknowledge your click of the Join button as one. Please note that this Agreement and Privacy Policy are also collectively referred to herein as our “Terms of Service”.

Community Administration
Notification of acts contrary to this Agreement
If you think you have to breach this Agreement, you will let us know once aware. If you believe that you are entitled or obligated to act contrary to this Agreement under any mandatory law, you agree to provide us with detailed and substantiated explanation of your reasons in writing at least 30 days before you act contrary to this Agreement, to allow us to assess whether we may, at our sole discretion, provide an alternative remedy for the situation, though we are under no obligation to do so.
User-to-User Communication and Sharing
When you share information, others can see, copy, and use that information. The Platform allows Users to post your observations and comments on designated topics. The Platform may also enable sharing of information by allowing users to post updates, including links to news articles and/or external websites. We, in our sole discretion, may remove content if the content violates this Agreement or others’ intellectual property rights. Please note that in your posts and information you share may be seen and used by other Users, and we cannot guarantee that other Users will not use the ideas and information that you share on the Platform, subject to an MNDA – you accept this risk. Therefore, if you have an idea or information that you would like to keep confidential or don’t want others to use, or that is subject to third-party rights that may be infringed by your sharing it, do not post it to anywhere on the Platform or our Services. YOU AGREE WE ARE NOT RESPONSIBLE OR LIABLE FOR ANOTHER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU POST ON THE PLATFORM OR SERVICES.
Privacy
You are okay with us collecting, using, storing, and disclosing information about you in keeping with our Privacy Policy. You should carefully read our full Privacy Policy before using the Platform and Services as it is hereby incorporated into this Agreement by reference, and governs our treatment of any information, including personally identifiable information you submit to us. Please note that certain information, statements, data, and content (such as photographs) which you may submit to us are likely to, reveal your gender, ethnic origin, nationality, age, and/or other personal information about you. You acknowledge that your submission of any information, statements, data, and content to us is voluntary on your part and that we may process such information, within the terms of the Privacy Policy.
Export Control
Your use of the Platform and the Services is subject to export and re-export control laws and regulations, including the Export Administration Regulations (“EAR”) maintained by the United States Department of Commerce and sanctions programs maintained by the Treasury Department’s Office of Foreign Assets Control. You shall not – directly or indirectly – sell, export, re-export, transfer, divert, or otherwise dispose of any software or service to any end-user without obtaining the required authorizations from the appropriate government authorities. You also warrant that you are not prohibited from receiving US origin products, including services or software. You agree to indemnify us and hold us harmless from your violation of Export Control.
Contributions to Us
By submitting ideas, suggestions, (“Contributions”) to us, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information outside our MNDA if using SiMPLPlatform.com.
Translation
We may translate these Terms into other languages for your convenience. Nevertheless, the English version governs your relationship with us, and any inconsistencies among the different versions will be resolved in favor of the English version.
Our Rights and Obligations
Services Availability
We may change or discontinue Services, and in such case, we do not promise to keep showing or storing your information and materials. For as long as we continue to offer the Services, we may provide and seek to update, improve, and expand the Services. As a result, we allow you to access the Platform as it may exist “as is” and be available on any given day and we have no other obligations, except as expressly stated in this Agreement. We may modify, replace, refuse access to, suspend, or discontinue the Platform, Services, or Applications partially or entirely, for all or part of the Services for you or for all our Users in our sole discretion. All of these changes shall be effective upon their posting on the Platform or by direct communication or notice on the Platform to you unless otherwise noted. We reserve the right to withhold, remove, or discard any content available as part of your account, with or without notice if deemed by us (solely) to be contrary to this Agreement. For avoidance of doubt, we have NO obligation to store, maintain or provide you a copy of any content that you or other Users provide when using the Services.
Disclosure of User Information
You agree that we can use, store, and share information about you as permitted in our Privacy Policy. You acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide in accordance with the terms of the Privacy Policy if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary in our opinion to: (1) comply with legal process, including, but not limited to, civil and criminal subpoenas, court orders or other compulsory disclosures; (2) enforce this Agreement; (3) respond to claims of a violation of the rights of third parties, whether or not the third party is a User, individual, or government agency; (4) respond to customer service inquiries; or (5) protect the rights, property, or personal safety of us, our Users or the public. Disclosures of User information to third parties other than those required to provide customer support, administer this Agreement, or comply with legal requirements are addressed in the Privacy Policy.
Interactions with other Users
We have the right to limit the connections and interactions on the Service. You are solely responsible for your interactions with other Users. We may limit the number of connections you may have to other Users and may, in certain circumstances, prohibit you from contacting other Users through use of the Services or otherwise limit your use of the Services. We reserve the right, but has no obligation, to monitor disputes between you and other users and to restrict, suspend, or close your account if we determine, in our sole discretion, that doing so is necessary to enforce this Agreement.
Intellectual Property Notices
The Services includes the copyrights and other Intellectual property rights of us and except for the limited license granted to you and we reserve all of our intellectual property rights in the Services. SiMPL™, our logos and other trademarks, service marks, graphics, and logos used in connection with the Platform are trademarks in the U.S. and/or other countries. Other trademarks and logos used in connection with the Platform may be the trademarks of their respective owners. Our copyrights are ours and we do not transfer license to them by allowing access or use by you. Upon your request to terminate your account, we will deactivate or delete your account and information from our active databases. CONTROLS FOR DO-NOT-TRACK FEATURES
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track (“DNT”) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this privacy notice.
DO CALIFORNIA RESIDENTS HAVE SPECIFIC PRIVACY RIGHTS?
In Short: Yes, if you are a resident of California, you are granted specific rights regarding access to your personal information.
California Civil Code Section 1798.83, also known as the “Shine The Light” law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year.
